Trade Booking Conditions

Master conditions for the trade — written once, applies to all flyEurope product lines and referenced by every quote.

These conditions are product-agnostic and apply to all flyEurope product lines — Self-Drive, Supercar, Private & Chauffeured, and Coach. They are referenced by every quote and provided to partners at trade registration. This version supersedes all prior terms; quotes already issued remain governed by the version they cited.

Parties & How We Work

These conditions govern the trade relationship between Flyora LLC, operating the flyEurope brand (Sharjah Media City Free Zone, UAE; Trade Licence 2644105.01) — "flyEurope", "we", "us" — and the travel agent or agency placing a booking — "the Agent", "you".

flyEurope is a business-to-business destination management company. We sell to the trade only. The Agent contracts directly with its own end client and is responsible for the price, terms, and service it offers that client. flyEurope's services to the Agent may be white-labelled under the Agent's brand. flyEurope does not contact or contract with the Agent's client unless as agreed with the Agent, and is not a party to the Agent-client contract.

Key definitions

  • "Programme" — any travel itinerary, tour, transfer, or ground service arranged by flyEurope on your behalf
  • "Booking" — a confirmed reservation for a Programme, acknowledged in writing by flyEurope
  • "Net rate" — the trade price quoted to you, exclusive of your retail margin
  • "Supplier" — any third-party provider (hotel, transport company, guide service, activity operator, etc.) engaged by flyEurope to deliver components of a Programme
  • "Pax" — the number of travellers in a booking

Our Capacity — Services We Reserve

For the ground services that make up an itinerary — accommodation, attractions and experiences, vehicle rental, transfers, guides, rail and similar — flyEurope acts as a booking agent for the relevant supplier, who is the principal and provider of that service. Each such service is supplied subject to that supplier's own terms and conditions, which govern and prevail in respect of that service (including its own booking, cancellation, deposit, age, insurance, and conduct rules).

flyEurope is not the provider of those services and is not liable for the acts, omissions, default, or service failures of any supplier. Where flyEurope itself operates a service directly, that service is provided by flyEurope and these conditions apply to it.

  • We select suppliers based on quality, reliability, and value, and we conduct regular reviews of our network
  • In rare cases we may substitute a supplier with one of equal or higher standard if the original becomes unavailable — we will notify you of any material substitution in advance
  • Supplier terms and conditions apply in addition to these conditions where relevant, particularly regarding on-site conduct, safety protocols, and local regulations

Information & Guidance (Self-Drive)

Where flyEurope provides route guidance, parking suggestions, location information, driving notes, or similar — whether through a travel application, document, or messaging support during the trip — that material is general information provided for convenience. It is believed correct at the time it is given but is not warranted to be current, complete, or error-free.

Local conditions and rules change frequently and without notice, including one-way and road-layout changes, parking restrictions, limited-traffic zones, low-emission zones and environmental-sticker requirements, tolls, and other traffic or regulatory measures.

The driver is solely responsible for holding a valid licence and any required international driving permit, for meeting the rental supplier's requirements, and for observing all local signage, traffic laws, and access and parking restrictions in force at the time of travel. The client alone is responsible for any fine, penalty, charge, or proceeding arising from the use of a vehicle or from the client's own conduct. Acting on flyEurope's guidance does not transfer this responsibility to flyEurope.

Quotations, Validity & Confirmation

Quotations are for leisure groups and are subject to availability until confirmed. A quotation is valid for 7 days from the offer date unless flyEurope extends it in writing.

  • Quotes do not include airfare, visa fees, travel insurance, personal expenses, or any services not explicitly listed
  • For groups confirming within 30 days of departure, flyEurope may revise or decline the quotation
  • Confirmations within 15 days of departure may incur a last-minute surcharge of 30%
  • Separate pricing may apply to M.I.C.E., student, or other non-leisure groups

Booking confirmation

A quotation becomes a confirmed booking only when all of the following conditions are met:

  • You have submitted a written booking request (email or partner portal)
  • flyEurope has issued a written booking confirmation with a unique reference number against exact travel dates, passenger count, rooming, and selected options
  • The required deposit or full payment has been received (see clause 6)

Until all three conditions are met, availability remains subject to change and flyEurope is not liable for any costs incurred based on unconfirmed bookings. Once confirmed, the quoted price is locked and will not increase unless you request changes to the programme. You are responsible for verifying all booking details — dates, names, services, and special requirements — at the time of confirmation; corrections requested after confirmation may incur additional charges.

Prices & Currency

  • All prices are in EUR unless stated otherwise on the quote
  • flyEurope may revise a price before confirmation if government taxes or fuel surcharges change, or if the EUR / local-currency exchange rate moves more than 5% from the offer date
  • A change in the confirmed passenger count may move a group into a different price bracket
  • During fairs, festive seasons, sporting events, and other high-demand periods a surcharge may apply (for example Easter, Christmas, and New Year); any such surcharge is communicated before confirmation

Payment

Payment terms depend on the product line and are stated on the quote. Unless agreed otherwise in writing:

Self-Drive

A EUR 150 deposit confirms the booking. The remainder of the amount payable to flyEurope (accommodation and service charge) is due 14 days before travel. The vehicle rental is paid by the client directly to the rental supplier — by card at the time of booking or at the rental desk — and is not collected by flyEurope.

Private / Chauffeured

10% of the tour price confirms the booking; the remaining 90% is due on receipt of the proforma invoice, no later than 21 days before arrival.

Coach / Group

A 12.5% non-refundable deposit confirms the booking. Payment then tracks the cancellation scale (clause 8): 35% of the tour price is due by 34 days before arrival, 55% by 24 days, and 100% by 16 days. A booking confirmed inside one of these windows is payable to the matching level at confirmation. Final settlement is made against the final rooming list; a passenger count below that list at travel is treated as a no-show and is not refundable.

Bank charges are borne by the payer. Late or incomplete payment may result in the booking being treated as cancelled under clause 8.

Accommodation

Hotels named in a quotation are indicative. An equivalent-category alternative may be substituted with prior notice. Some hotels may not provide air conditioning unless specifically confirmed. Triple rooms are subject to hotel availability; where unavailable, a twin-plus-single arrangement may apply with a supplement. During periods of very high demand flyEurope reserves the right to relocate the group to an equivalent hotel within 150 km, with notice.

  • A single room is available on a single supplement, quoted per booking
  • Standard hotel check-in is from 15:00 and check-out by 11:00; earlier check-in or later check-out is subject to availability and may be chargeable

  • 3 pax — 1 triple
  • 4 pax — 2 doubles
  • 5 pax — 1 double/twin + 1 triple
  • 6 pax — 3 doubles
  • 7 pax — 1 triple + 2 doubles
  • 8 pax — 4 doubles
  • 9 pax — 1 triple + 3 doubles

Cancellation & Amendment

Cancellation charges depend on the product line and are stated on the quote. Charges levied by individual suppliers under their own terms (clause 2) apply in addition where greater.

Coach / Group

The charge always equals the amount already due under the staged payment schedule (clause 6), so it is fully covered by sums paid.

Self-Drive

The EUR 150 deposit is non-refundable once paid; the figures below apply to the amount payable to flyEurope.

A reduction in passenger numbers within 16 days of departure may be charged at 100% for the reduced number. All tour details should be finalised no later than 10 days before departure.

Amendments

We understand that travel plans evolve. Changes to confirmed bookings are handled as follows:

  • Minor changes (room type, meal preference, timing adjustments) — we will accommodate where possible at no additional charge
  • Material changes (date change, destination change, significant group size change) — treated as a new quotation; any price difference and an amendment fee may apply
  • Name changes — permitted up to 14 days before departure at no charge; within 14 days, supplier policies apply
  • Changes requested after departure — subject to supplier availability and pricing, with no guarantee of the original rate
  • Later changes, increased passenger numbers, or room-type amendments are subject to availability and may attract supplements

All change requests must be submitted in writing. Verbal requests are not binding on either party.

Any refund due to the Agent is processed within 30 days of flyEurope confirming the refundable amount, by the original payment method, net of bank charges and net of any sum flyEurope is itself still recovering from a supplier.

Transport — Coach, Chauffeured & Driver

Chauffeured and coach services operate subject to EU and local driving and working-hour regulations, including a maximum daily driving period, weekly driving limits, and mandatory rest breaks. A driver may decline overtime. Where the planned itinerary cannot be completed within the driver's legal hours, any overtime or early start is arranged in advance with flyEurope and may attract a surcharge; the tour leader bears the on-the-ground decision and the consequences of exceeding legal driver hours.

  • A coach larger than the standard requirement (e.g. more than 50 seats) may attract a surcharge advised on confirmation
  • Where flyEurope does not arrange the driver's accommodation in a city on the route, the group provides it; any driver city taxes are settled locally by the tour leader
  • A coach is not obliged to carry luggage across a border without its passengers

Group services

  • Group meals are served in an area assigned by the restaurant
  • Porterage at hotels, airports, stations, and piers is subject to availability and is not guaranteed; a supplement may apply where an alternative arrangement is needed
  • Where a group entrance ticket or reservation for a site is not available, a supplement may apply for that site

Travel Documents

Guests are responsible for holding valid passports, visas, permits, and health documents required for every country visited or transited. Travel insurance with adequate medical, repatriation, and cancellation cover is mandatory for every traveller. flyEurope, or the operating supplier, may require proof of cover before travel and is not liable for any cost that adequate insurance would have covered.

  • Children under 18 may require guardian consent and a birth certificate at border control
  • flyEurope may provide general guidance on documentation requirements, but this does not constitute legal advice and we accept no liability for refused entry or deportation
  • flyEurope is not liable for any consequence of a guest failing to hold the correct documents

Complaints

Any service-related issue must be reported immediately during the trip, so that corrective action can be attempted on the spot. Failure to report an issue at the time may limit flyEurope's ability to investigate or remedy it afterwards.

  • flyEurope will acknowledge written complaints within 3 business days
  • A substantive response will be provided within 21 business days of the complaint being received
  • We will investigate each complaint fairly and, where appropriate, offer remediation, credit, or compensation

Force Majeure

flyEurope is not responsible for changes, delays, or failures caused by weather, natural calamities, civil or military conflict, government measures, strikes, epidemics or pandemics, sanitary restrictions, border restrictions, cyber incidents, or any other circumstance beyond its reasonable control. flyEurope will assist with practical solutions where possible.

Where a force-majeure event prevents delivery of booked services, flyEurope refunds amounts it can recover from its suppliers; amounts it cannot recover are not refundable in cash, and flyEurope will issue a credit note toward a future booking for those amounts where possible. Emergency costs arising during travel — re-accommodation, re-routing, or medical transport — are borne by the client and are typically recoverable under the mandatory travel insurance in clause 10.

Liability

flyEurope's liability to the Agent arises only from services it provides directly (clause 2) and from its own negligence. Nothing in these conditions excludes or limits any liability that cannot be excluded or limited by law.

  • flyEurope is not liable for death or personal injury arising from the acts or omissions of a supplier (clause 2) or from a traveller's own conduct (clause 3); a claim for death or personal injury lies against the responsible supplier or the traveller's insurer
  • flyEurope is not liable for the acts or omissions of suppliers, for the client's own conduct (clause 3), for force-majeure events (clause 12), or for indirect or consequential loss
  • flyEurope is not liable for losses arising from your failure to provide accurate booking information, travel documents, or relevant disclosures
  • flyEurope's total liability in respect of any booking is limited to the amount the Agent has paid to flyEurope for that booking

Data Protection

Each party acts as an independent controller of the personal data it handles and is responsible for its own compliance with applicable data-protection law, including the General Data Protection Regulation (GDPR) where it applies.

  • Personal data shared between parties (traveller names, contact details, special requirements) shall be processed solely for the purpose of delivering the booked programme
  • Neither party uses the other's contact or client data beyond what is necessary to deliver the booked services
  • Neither party solicits the other's introduced contacts in breach of any non-circumvention term agreed between them
  • Neither party uses the other's data for unsolicited marketing without explicit consent

Services Used, Conduct & Special Requests

  • No refund is due for any service included in the package that a traveller does not use, arrives too late to use, or chooses to skip
  • Travellers are responsible for the cost of any damage they cause to a vehicle, hotel room, or other property, and for any loss flyEurope or a supplier incurs from a traveller's misconduct
  • Special requests — dietary needs (including halal), adjoining rooms, accessibility, and similar — are passed to the relevant supplier and met on a best-effort basis; they are not guaranteed unless confirmed in writing on the booking
  • Attractions, museums, and seasonal experiences operate to their own calendars and weather; a closure or seasonal non-operation is not grounds for a refund, and an equivalent alternative is offered where practical

Governing Law & Jurisdiction

These conditions, and any booking made under them, are governed by the laws of the Dubai International Financial Centre (DIFC), and the parties submit to the exclusive jurisdiction of the DIFC Courts, Dubai, UAE. The parties will first attempt to resolve any dispute amicably before commencing proceedings.

Intellectual Property

  • All content on flyeuropedmc.com — including text, images, itinerary descriptions, route maps, and design — is the property of flyEurope DMC or its licensors
  • Partners may use programme descriptions and images provided by flyEurope for the purpose of selling those specific programmes to their clients
  • White-labelling is permitted: you may rebrand our materials under your own agency brand; you may not attribute them to another DMC or ground operator
  • You may not reproduce, distribute, or commercially exploit our content for purposes unrelated to selling flyEurope programmes without prior written consent
  • The flyEurope name, logo, and brand assets may not be used without prior written approval

Confidentiality

Both parties agree to treat the following as confidential:

  • Net rates, commission structures, and pricing methodologies
  • Supplier identities and commercial terms (unless publicly known)
  • Client lists, booking volumes, and business performance data
  • Proprietary systems, tools, and operational processes

Confidentiality obligations survive the termination of the business relationship for a period of 2 years. Breach of confidentiality may result in immediate termination of the partner agreement.

General Provisions

  • Entire agreement — these conditions, together with any signed partner agreement and booking confirmations, constitute the entire agreement between the parties and supersede all prior discussions or representations
  • Severability — if any provision is found unenforceable, the remaining provisions remain in full effect
  • No waiver — failure to enforce any provision does not constitute a waiver of our right to enforce it in the future
  • Assignment — you may not assign your rights or obligations under these conditions without our written consent; flyEurope may assign its rights to a successor entity
  • Amendments — we may update these conditions from time to time; material changes will be communicated to active partners with 30 days' notice; continued use of our services after notice constitutes acceptance
